These Terms of Service ("Terms") govern your access to and use of the website, marketplace, and related services (collectively, the "Services") operated by Intel Global Commerce LLC ("we," "us," "our," or "the Company"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Parties and Acceptance

1.1 These Terms form a legally binding agreement between you ("you" or "User") and Intel Global Commerce LLC. By registering an account, submitting an inquiry, browsing listings, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Cookie Policy, which are incorporated by reference.

1.2 You represent that you are entering into these Terms on behalf of yourself or, if applicable, the entity you are authorized to represent, and that you have the authority to bind that entity.

2. Eligibility and Accounts

2.1 You must be at least 18 years of age and legally capable of entering into binding contracts to use the Services. By using the Services, you represent and warrant that you meet these requirements.

2.2 To access certain features, you must register for an account and provide accurate, complete, and current information. You must update your information to keep it accurate.

2.3 You are solely responsible for safeguarding your password and for all activity conducted under your account. You agree to notify us immediately of any unauthorized use or security breach. We may suspend or terminate access if we suspect unauthorized activity.

2.4 One person or entity may not maintain multiple accounts without our consent, and accounts may not be transferred or sold.

3. Description of Services

3.1 Our platform connects buyers and suppliers of processors, graphics units, networking equipment, components, and related technology products across international markets. We facilitate inquiries, quote requests, communications, and limited transaction support.

3.2 The Services are a marketplace and facilitation platform. Unless expressly stated in a separate written agreement, we are not a party to any transaction between buyers and suppliers, we are not a broker, and we are not your agent. We do not take title to goods, do not manufacture or warehouse goods on your behalf, and do not guarantee the performance of any buyer or supplier.

3.3 Supplier listings, product specifications, pricing, availability, and certifications are submitted by suppliers and other Users and have not been independently verified by us unless a verification badge or status is expressly displayed. Verification, where offered, indicates only that certain documents have been reviewed and does not constitute an endorsement, warranty, or guarantee.

4. Supplier Obligations

4.1 Suppliers represent and warrant that all information, listings, specifications, pricing, and documentation they submit is accurate, complete, and not misleading, and that they have all rights, licenses, and authorizations necessary to offer their products.

4.2 Suppliers must comply with all applicable laws, including export controls, sanctions, customs, product safety, and consumer-protection laws. Suppliers are solely responsible for their products, including quality, safety, packaging, labeling, and regulatory compliance.

4.3 Suppliers must fulfill accepted orders in accordance with the agreed terms, including quantity, quality, price, lead time, and Incoterms. Failure to fulfill may result in removal from the marketplace.

4.4 Suppliers are responsible for all taxes, duties, and charges associated with their sales, and for issuing invoices as required by law.

5. Buyer Obligations

5.1 Buyers represent and warrant that information submitted in inquiries and quote requests is accurate and made in good faith. Buyers must not submit fraudulent or speculative requests.

5.2 Buyers are responsible for reviewing quotes, verifying suppliers, and confirming product specifications before committing to a purchase. Buyers must comply with all applicable import, customs, and regulatory requirements in their destination country.

5.3 Buyers are responsible for payment in accordance with agreed terms and for any applicable import duties, taxes, and clearance costs unless otherwise agreed in writing.

6. Quotes, Orders, and Transactions

6.1 A quote request or inquiry is an invitation for suppliers to make an offer and is not a binding purchase order. A binding transaction arises only when a buyer and supplier reach mutual agreement on terms, as evidenced by a purchase order, acceptance, or other written confirmation between them.

6.2 We are not responsible for the negotiation, formation, performance, or enforcement of any transaction between Users. Any dispute regarding a transaction must be resolved directly between the buyer and supplier, subject to Section 15.

6.3 Where we facilitate payment processing, such processing is governed by the terms disclosed at the time of checkout and by the applicable payment processor's terms. We are not liable for delays, errors, or failures by payment processors.

7. Fees and Payment

7.1 We may charge fees for certain features, listings, or services. Any fees will be disclosed before you incur them. Unless otherwise stated, fees are non-refundable.

7.2 You agree to pay all fees when due and authorize us to charge your designated payment method. Taxes, where applicable, are your responsibility.

7.3 We may change our fees upon reasonable notice. Changes do not apply retroactively to fees already incurred.
